TEXAS A&M UNIVERSITY BLACK FORMER STUDENTS NETWORK

CONSTITUTION

 

 

ARTICLE I – NAME OF THE ORGANIZATION

 

The name of this organization shall be the Texas A&M University Black Former Students Network (a.k.a. “TAMU BFSN” and “BFSN” and “Black Former Students Network”).

 

ARTICLE II – DURATION

 

The period of the Black Former Students Network’s duration shall be perpetual.

 

 

ARTICLE III – ADDRESS

 

The Black Former Students Network shall be located at the Texas A&M University Association of Former Students, 505 George Bush Drive, College Station, Texas 77840-2918. 

 

The Chair may designate an alternate address for the BFSN

 

The Chair shall designate an officer to receive correspondence for the BFSN.

 

The designated officer shall be the registered agent for the BFSN.

 

 

ARTICLE IV – CHARTER

 

The Texas A&M University Black Former Students Network shall not be financially obligated to or by The Texas A&M University Association of Former Students (a.k.a. “TAMU AFS” and “The Association”), nor shall The Association in any way be obligated or responsible for the financial affairs of the Black Former Students Network.

 

In the event of dissolution of the Black Former Students Network, all assets of the BFSN remaining after payment or settlement of the indebtedness of the BFSN shall be allocated to the Texas A&M University Association of Former Students in totality and with no encumbrances.  This is construed in no way to obscure the separateness and independence of the Black Former Students Network from The Association during the BFSN’s legal existence.

 

 

ARTICLE V – PURPOSE

 

The purpose of the Texas A&M University Black Former Students Network shall be:

 

A.                To support the activities of Texas A&M University toward the realization of its educational program in every manner possible; and

B.                To establish and promote goals and projects which tend to strengthen the ties between the members, the Black Former Student Network, the community, and the University; and

C.                To unite for social purposes those persons who are interested in the distinguished record and future progress of Texas A&M University; and

D.                To act as an agency for the dissemination of information regarding the educational advantages of the Texas A&M University; and

E.                To conduct any business or any other legal or lawful activity and to perform such other acts as are incidental to the foregoing or desirable in order to accomplish the purposes for which the BFSN was formed; and

F.                 To have and exercise all rights and powers that are now or may hereafter be granted to the BFSN by law; and

G.                To promote the interests of Texas A&M University Black Former Students; and

H.                To promote and protect the interests of Black Students currently enrolled at Texas A&M University; and

I.                    To facilitate financial assistance for Black Students currently enrolled at Texas A&M University; and

J.                  In conjunction with Texas A&M University, to promote recruitment and retention of Black Students.

 

 

ARTICLE VI – MEMBERSHIP

 

Section 1

 

All Black Former Students of Texas A&M University.

 

Section 2

 

All individuals committed to promoting the interests of Texas A&M University Black Former Students.

 

ARTICLE VII – BOARD OF DIRECTORS

 

Section 1

 

The Board of Directors shall consist of seven (7) members; the Immediate Past Chair, the Chair, the Chair-Elect, and four (4) active members of the Black Former Students Network (to be elected by the BFSN).  The Immediate Past Chair, Chair, and Chair-Elect of the BFSN shall serve as members of the Board of Directors.  At each annual election, four (4) active members of the Black Former Students Network shall be elected to serve on the Board of Directors.  Each elected member of the Board of Directors shall be elected to a two-year term.

 

Section 2

Between annual elections the Board of Directors shall, by majority vote of its members, fill all vacancies that may occur.

 

Section 3

The government of the BFSN and the direction of its activities between meetings shall be vested in the Board of Directors.

 

Section 4

The Board of Directors shall conduct no fewer than three (3) meetings per calendar year.  A meeting of the Board of Directors shall be called upon written request of three (3) members of the Board.  The presence of a majority of the members of the Board constitutes a quorum.

 

 

ARTICLE VIII – OFFICERS

 

The officers of the Black Former Students Network shall consist of a Chair, Immediate Past Chair, Chair-elect, Vice Chair, Correspondence Secretary, Recording Secretary, Treasurer, and Parliamentarian.  The duties of the officers shall be such as generally exercised by such officers, and such may be assigned to them respectively by the Board of Directors from time to time.

 

 

ARTICLE IV – MEETINGS

 

Section 1

 

It shall be the policy of the Black Former Student Network to hold at least one (1) meeting every two-years.

 

Section 2

 

There shall be such other regular meetings each year as the Chair, with the approval of the Board of Directors, may deem desirable.

 

 

ARTICLE X – COMMITTEES

 

Section 1

 

With the approval of the Board of Directors, the Chair shall appoint all standing committees necessary for the proper functioning of the Black Former Students Network.  Board members should be chairmen of the various standing committees, but this is not mandatory.

 

Section 2

 

The Chair, with the approval of the Board of Directors, shall appoint such additional committees as the interests of the Black Former Students Network may require.

 

 

ARTICLE XI – ELECTIONS

 

The Chair shall appoint a Nominating Committee, which will have the duty of submitting candidates for election to the Board of Directors at the annual meeting or by mail ballot.  The officers will be elected in the same manner.  Elections shall be conducted every two years.

 

 

ARTICLE XII – AMENDMENTS

 

This constitution may be amended by a three-fourths (3/4) vote of all active members of the Black Former Students Network. 

 

 

ARTICLE XIII – ADOPTION

 

This constitution shall be officially adopted upon its approval by a majority vote of the active members of the Black Former Students Network in attendance at any regular or special meeting.  A copy of the constitution and any subsequent amendments shall be forwarded to The Association office.

 

 

ARTICLE XIV – BY-LAWS

 

The Board of Directors shall have the power to adopt by-laws, as it deems necessary.  A majority vote of the Board at any regularly called meeting of the board at which a quorum is present shall be sufficient to adopt such by-laws.
